Terms And Conditions

Last Updated: September 3, 2026

These Terms & Conditions (“Terms”) govern your use of the Prime Logistics LLC website and the information and services presented through it.

By accessing or using this website, submitting information through a form, or communicating with Prime Logistics through the website, you agree to these Terms. If you do not agree with these Terms, you should discontinue use of the website.

About Prime Logistics

Prime Logistics LLC (“Prime Logistics,” “we,” “us,” or “our”) provides truck dispatch and operational support services for owner-operators and small fleets.

Our services may include load matching and booking support, broker credit verification, paperwork and setup management, invoicing and factoring workflow support, detention and layover tracking, broker communication, and ongoing dispatch support.

Prime Logistics provides administrative and dispatch support. We do not take ownership or operational control of a carrier’s trucking business.

Carrier Independence

Carriers remain independent and responsible for their own business operations and decisions.

Each carrier remains responsible for its own:

  • Operating authority

  • Insurance

  • Drivers

  • Equipment

  • Safety compliance

  • Licensing and registrations

  • Regulatory compliance

  • Routes and operating decisions

  • Load acceptance or rejection

  • Financial and business decisions

Prime Logistics may assist with reviewing and coordinating freight opportunities, but the carrier remains in control of its operation.

Freight Opportunities and Load Decisions

Prime Logistics may review, identify, communicate, or present freight opportunities based on information provided by the carrier and information available from brokers, shippers, load boards, logistics platforms, and other sources.

Freight availability may change at any time.

The carrier has the final authority to accept or reject any freight opportunity.

Prime Logistics does not guarantee that any particular load will remain available, be booked successfully, meet the carrier’s expectations, or produce a particular financial result.

Equipment and Load Requirements

Carriers are responsible for confirming that freight is appropriate for their actual equipment, capacity, operating authority, insurance, and other requirements.

Information relating to trailer type, dimensions, weight, commodity, securement, temperature, loading method, appointments, permits, or other load requirements should be reviewed before accepting a load.

Prime Logistics may assist in reviewing available information but does not replace the carrier’s responsibility to verify whether a shipment is suitable for its operation.

Rates, Revenue, and Profitability

Freight rates and market conditions may vary based on location, season, demand, equipment, lane, broker, shipper, fuel costs, timing, and other factors.

Prime Logistics does not guarantee:

  • A specific freight rate

  • A minimum rate per mile

  • A minimum number of loads

  • Continuous freight availability

  • A particular amount of weekly or monthly revenue

  • Profitability

  • Specific lanes

  • Specific mileage

  • Specific operating results

Any rate or financial information presented during dispatch support should be independently evaluated by the carrier.

Broker Credit Verification

Prime Logistics may assist carriers by reviewing available broker information, including information related to authority, payment history, credit indicators, or other publicly or commercially available data.

Broker credit verification is intended to support informed decision-making.

It does not guarantee that a broker will pay an invoice, remain financially solvent, perform according to an agreement, or satisfy any contractual obligation.

The carrier retains responsibility for deciding whether to conduct business with a broker or other third party.

Paperwork and Setup Management

Prime Logistics may assist with carrier setup packets, rate confirmations, certificates, identification documents, broker-required paperwork, proofs of delivery, and other administrative documents associated with dispatch operations.

Requirements vary by broker, shipper, factoring company, load, and jurisdiction.

Carriers remain responsible for maintaining accurate records and providing valid and current documentation.

Invoicing and Factoring Support

Prime Logistics may assist with organizing invoices, rate confirmations, proofs of delivery, and related documents used in post-delivery payment or factoring workflows.

Prime Logistics LLC is not represented through this website as a factoring company.

Prime Logistics does not guarantee:

  • Factoring approval

  • Broker payment

  • Payment timing

  • Collection of any invoice

  • Approval of submitted documents

  • Funding decisions made by third parties

Factoring companies, brokers, and payment providers operate according to their own contracts, policies, and requirements.

Detention and Layover Tracking

Prime Logistics may assist carriers with documenting delays, communicating information, and following up regarding detention, layover, Truck Ordered Not Used (TONU), or similar situations when applicable.

Eligibility for these payments depends on factors such as the rate confirmation, broker or shipper policies, arrival and departure times, supporting documents, notice requirements, and the circumstances of the load.

Prime Logistics does not guarantee approval or payment of detention, layover, TONU, or similar charges.

Third-Party Brokers, Shippers, and Services

Prime Logistics may communicate with or rely on information from third-party brokers, shippers, load boards, factoring companies, technology providers, transportation platforms, and other service providers.

These parties are independent from Prime Logistics.

Prime Logistics does not control and is not responsible for the actions, representations, systems, payment practices, availability, performance, websites, policies, or contractual obligations of independent third parties.

Any agreement between a carrier and a broker, shipper, factoring provider, or other third party is separate from these website Terms.
